This End User License Agreement ("Agreement") governs your use of software, services, and web properties provided by Hidalga Technologies, LLC ("Hidalga", "we", "us", or "our"), including the Hidalga Infusion Knowledge Base and Infusion Knowledge Portal (collectively referred to as the "Software"), and our websites located at hidalgatech.com and related URLs (the "Web Properties"). By accessing, using, installing, or downloading the Software or accessing the Web Properties, you agree to be bound by this Agreement. If you do not agree to this Agreement, you must not use the Software or access the Web Properties. 1. Privacy Policy Your privacy is paramount to us. Our Privacy Policy, as detailed at hidalgatech.com/privacy-policy/, outlines how we collect, use, and protect your information. By agreeing to this EULA, you consent to the collection, use, and sharing of your information as outlined in our Privacy Policy. 2. License Grant & Restrictions Hidalga grants you a non-exclusive, non-transferable, and revocable license to use the Software and access the Web Properties, subject to your compliance with this Agreement. You may not modify, distribute, or create derivative works of the Software. You agree not to use the Software in any manner that infringes third-party rights or violates any law. 3. User Account and Security Some features of the Web Properties may require you to create a User Account. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to keep this information up to date. 4. Content and Intellectual Property The content provided through the Web Properties, including all information, text, graphics, and software, is owned by Hidalga or its licensors and is protected by intellectual property laws. You are granted a limited license to access and use the Web Properties and their content for your commercial use. 5. User Content You may have the opportunity to submit content, such as comments or feedback, to the Web Properties. You retain all rights to your content, but you grant Hidalga a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your content in connection with the Web Properties. 6. Disclaimers The Software and Web Properties are provided "AS IS" without any warranties, express or implied. Hidalga does not warrant that the Software or Web Properties will be uninterrupted, secure, or error-free. We make no warranties regarding the accuracy or completeness of any content or information provided through the Web Properties. 7. Limitation of Liability To the fullest extent permitted by law, Hidalga will not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Software or Web Properties. 8. Indemnification You agree to indemnify and hold Hidalga harmless from any claims, damages, or expenses arising from your use of the Software or Web Properties, your content, or your violation of this Agreement. 9. Governing Law This Agreement shall be governed by the laws of the State of Arkansas, without regard to its conflict of laws principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in Little Rock, Arkansas. 10. Changes to this Agreement Hidalga reserves the right to modify this Agreement at any time. We will post the revised Agreement on our website, and your continued use of the Software or Web Properties after such changes signifies your acceptance of the revised Agreement. 11. Termination Hidalga may terminate this Agreement and your access to the Software and Web Properties at any time, without notice, for any reason, including for violation of this Agreement. 12.
